Agreement to Terms

By accessing or using Arvyo Ltd. ("Arvyo", "we", "us", or "our") services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all users of our services, including clients, website visitors, and service recipients
You must be at least 18 years old or have parental consent to use our services
By using our services, you represent that you have the legal capacity to enter into these terms
We reserve the right to modify these terms at any time, with changes effective upon posting

Service Agreements

Specific terms for our services are detailed in separate service agreements, statements of work, or project proposals.

Each project or service engagement will have its own specific terms and conditions
Service agreements may include scope, timeline, deliverables, payment terms, and intellectual property rights
In case of conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail
All service agreements must be signed by authorized representatives of both parties

Payment Terms

Payment terms are specified in individual service agreements. General payment principles apply.

Payment schedules and methods are agreed upon in service agreements
Late payments may incur interest charges as specified in the service agreement
We reserve the right to suspend services for non-payment after appropriate notice
All fees are non-refundable unless otherwise specified in the service agreement
You are responsible for any taxes applicable to the services provided

Intellectual Property Rights

Intellectual property ownership is determined by the specific service agreement.

Custom-developed software and solutions: Ownership typically transfers to the client upon full payment, unless otherwise specified
Pre-existing tools, frameworks, and methodologies: Remain the property of Arvyo
Third-party components and licenses: Subject to their respective license terms
Client-provided materials: Remain the property of the client
We retain the right to use anonymized project learnings for portfolio and marketing purposes

Client Responsibilities

Clients are responsible for providing necessary information, access, and cooperation for successful project delivery.

Provide accurate and complete information required for project execution
Grant necessary access to systems, data, and resources as agreed
Respond to requests for feedback, approvals, and decisions in a timely manner
Ensure compliance with applicable laws and regulations in your jurisdiction
Maintain confidentiality of any proprietary information shared by Arvyo

Warranties and Disclaimers

We provide services with reasonable care and skill, but certain limitations apply.

We warrant that services will be performed in a professional and workmanlike manner
We do not guarantee that services will be error-free or uninterrupted
Services are provided "as-is" without warranties of merchantability or fitness for a particular purpose
We are not liable for delays or failures caused by factors beyond our reasonable control
Third-party services and components are provided "as-is" without warranty

Limitation of Liability

Our liability is limited as specified in this section and in individual service agreements.

Our total liability shall not exceed the total fees paid by you for the specific service in question
We are not liable for indirect, incidental, consequential, or special damages
We are not liable for loss of data, profits, or business opportunities
These limitations apply to the maximum extent permitted by applicable law
Some jurisdictions do not allow limitation of liability, so some limitations may not apply to you

Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information.

Confidential information includes business plans, technical specifications, source code, and proprietary data
Confidentiality obligations survive termination of the service agreement
Information that is publicly available or independently developed is not considered confidential
We may disclose information if required by law or court order
Both parties will take reasonable measures to protect confidential information

Termination

Either party may terminate service agreements under the terms specified in the agreement.

Termination procedures and notice periods are specified in individual service agreements
Upon termination, you must pay for all services rendered up to the termination date
We may terminate services immediately for breach of terms or non-payment
Upon termination, each party will return or destroy confidential information as requested
Sections regarding payment, intellectual property, confidentiality, and limitation of liability survive termination

Dispute Resolution

Disputes will be resolved through good faith negotiation, and if necessary, through legal proceedings.

Parties agree to attempt to resolve disputes through good faith negotiation
If negotiation fails, disputes may be resolved through mediation or arbitration as specified in the service agreement
These terms are governed by the laws of Bangladesh
Any legal proceedings shall be conducted in the courts of Dhaka, Bangladesh
If any provision is found unenforceable, the remaining provisions shall remain in effect
